1. Introduction

Welcome to Hidesc.com, a cloud-based task and project management platform operated by HIDESK LTD, a company registered in England and Wales (Company Registration No. 16146710), with its registered office at 231 Trafford House, Cherrydown East, Basildon, England, SS16 5FY ("Hidesk", "Hidesc", "we", "us", or "our").

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and HIDESK LTD governing your access to and use of the Hidesc.com website, mobile applications, API, and all related services (collectively, the "Service" or "Platform").

By creating an account, accessing, or using Hidesc.com, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Service.

2. Eligibility and Account Registration

2.1 Age Requirements

To use Hidesc.com, you must be at least 16 years of age or have reached the legal age of majority in your jurisdiction, whichever is higher. By registering, you represent and warrant that you meet these age requirements.

2.2 Account Creation

When creating an account on Hidesc.com, you agree to:

  • Provide accurate, current, and complete information including your full name, email address, phone number, company name (if applicable), and any other requested details
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the confidentiality of your account credentials and password
  • Accept full responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use or security breach
  • Not create multiple accounts for the same individual or organization
  • Not share your account credentials with any third party

2.3 Google Login Integration

You may register or log in to Hidesc.com using your Google account ("Google Login"). By using Google Login, you:

  • Authorize us to access certain information from your Google account, including your name, email address, and profile picture
  • Acknowledge that your use of Google Login is subject to Google's Terms of Service and Privacy Policy
  • Understand that we are not responsible for Google's data practices or service availability

3. Description of Service

Hidesc.com provides a comprehensive suite of productivity tools designed for task management, project planning, team collaboration, and business operations, including but not limited to:

  • Task creation, assignment, tracking, and management
  • Project planning and milestone tracking
  • Real-time team chat and messaging
  • Document and file uploads (including images, PDFs, spreadsheets, and other business files)
  • Team collaboration features and workspace management
  • User role management and permission controls
  • Analytics and reporting dashboards
  • Integration with third-party services (including Google Analytics)
  • Mobile and desktop application access

Service Modifications: We reserve the right to modify, suspend, discontinue, or introduce new features to the Service at any time, with or without notice. We will make reasonable efforts to communicate significant changes to active users.

4. User Data Collection and Processing

4.1 Data We Collect

In order to provide the Service, Hidesc.com collects and processes the following categories of personal data:

5. User Responsibilities and Acceptable Use

5.1 Prohibited Activities

You agree NOT to use Hidesc.com to:

  • Upload, share, or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
  • Upload files containing viruses, malware, trojans, worms, or any malicious code
  • Infringe upon any intellectual property rights, trademarks, patents, or copyrights of others
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to other users' accounts, data, or the platform's systems
  • Interfere with, disrupt, or overload the Service or servers
  • Use automated scripts, bots, or scrapers to access the Service without authorization
  • Engage in any activity that could damage Hidesk's reputation or business operations
  • Use the Service for any illegal purpose including money laundering, terrorism financing, or fraud
  • Impersonate any person or entity, or falsely represent your affiliation with any organization
  • Collect or harvest personal information from other users without consent

5.2 Content Monitoring

While we do not actively monitor all user content, we reserve the right to:

  • Review uploaded files and communications if we receive reports of abuse
  • Remove or disable access to any content that violates these Terms
  • Suspend or terminate accounts that repeatedly violate these Terms
  • Report illegal activities to law enforcement authorities
  • Cooperate with legal investigations and court orders

5.3 User Compliance

You are solely responsible for:

  • Ensuring that all content you upload complies with applicable laws and these Terms
  • Obtaining necessary permissions, licenses, or consents for any content you share
  • Maintaining appropriate backups of your important data
  • The actions of all users granted access under your account or organization

6. User Content Ownership and License

6.1 Your Ownership

You retain complete ownership of all data, content, files, documents, and information you upload, create, or share on Hidesc.com ("User Content").

6.2 License Grant to Hidesk

By uploading or creating User Content, you grant HIDESK LTD a limited, non-exclusive, worldwide, royalty-free, sublicensable license to:

  • Store, process, and display your User Content
  • Make temporary copies necessary for backup, disaster recovery, and caching
  • Perform technical operations required to deliver the Service (e.g., format conversion, compression)
  • Use aggregated, anonymized data derived from usage patterns to improve the Service

We will never:

  • Sell your User Content to third parties
  • Use your User Content for advertising or marketing to other users
  • Share your User Content publicly without your explicit permission
  • Claim ownership over your intellectual property

This license terminates when you delete your content or close your account, except for:

  • Copies retained in backups (automatically deleted within 90 days)
  • Content you have explicitly shared publicly or with other users
  • Aggregated, anonymized data that cannot identify you

7. Team Accounts and Organization Management

7.1 Multi-User Accounts

Organizations may invite multiple team members to collaborate within shared workspaces. The account owner or administrator ("Admin") is responsible for:

  • Managing user access, roles, and permissions
  • Ensuring all team members comply with these Terms
  • Maintaining the security of the organization's account
  • All activities conducted by authorized team members
  • Payment for the organization's subscription

7.2 Team Member Responsibilities

All actions taken by any team member with authorized access are deemed to be actions taken on behalf of the organization. The organization accepts full liability for its team members' use of the Service.

7.3 Access Removal

Admins may remove team members at any time. Removed users will lose access to the organization's workspace but may retain their individual account (if applicable).

8. Billing, Payments, and Subscription Plans

8.1 Pricing and Plans

Hidesc.com offers various subscription plans with different features and pricing tiers. Current pricing is displayed on our website at Hidesc.com/pricing and during the checkout process.

8.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
  • All prices are stated in British Pounds (GBP) and include VAT where applicable
  • Payments are processed securely through our authorized payment partners
  • You must provide valid payment information and authorize us to charge your selected payment method
  • If automatic payment fails, we will attempt to notify you and may suspend your account until payment is received

8.3 Price Changes

We reserve the right to modify our pricing at any time. If we increase the price of your current subscription:

  • We will provide at least 30 days' advance notice via email
  • The new pricing will take effect at your next renewal date
  • You may cancel your subscription before the renewal date to avoid the price increase

8.4 Taxes

You are responsible for all applicable taxes, duties, and government charges. If we are required to collect VAT or other taxes, these will be added to your invoice.

8.5 Late Payments

Failure to pay subscription fees may result in:

  • Suspension of access to premium features
  • Downgrade to a free plan (if available)
  • Account suspension after 14 days of non-payment
  • Account termination after 30 days of non-payment
  • Loss of data associated with suspended accounts

9. No Refund Policy

9.1 All Sales Are Final

All subscription fees, upgrade charges, and one-time payments are strictly non-refundable. Once a payment is processed, we do not offer refunds, credits, or prorated refunds for:

  • Partial months or years of service
  • Unused subscription time
  • Service dissatisfaction or change of mind
  • Accounts closed or downgraded mid-billing cycle
  • Service interruptions or downtime (except as required by consumer protection law)

9.2 Free Trial Periods

If we offer a free trial:

  • No payment is required during the trial period
  • You may cancel at any time during the trial without charge
  • If you do not cancel before the trial ends, your payment method will be automatically charged
  • Once charged, the no-refund policy applies

9.3 Legal Exceptions

This no-refund policy operates to the maximum extent permitted by law. Nothing in these Terms affects your statutory rights as a consumer under UK consumer protection laws. In jurisdictions where refunds are legally required, we will comply with applicable regulations.

9.4 Payment Disputes

If you believe you have been charged in error, you must contact us within 14 days of the charge at info@hidesc.com. We will investigate legitimate billing errors and issue corrections if warranted.

10. Cancellation and Account Termination

10.1 Cancellation by User

You may cancel your Hidesc.com subscription at any time by:

Important Cancellation Terms:

  • Cancellation requests must be submitted before your next billing date to avoid automatic renewal
  • Your access to premium features will continue until the end of your current billing period
  • No refunds or credits will be issued for the remaining time in your billing cycle
  • After cancellation, your account will be downgraded to a free plan (if available) or your data will be retained for 30 days before deletion

10.2 Account Deletion

If you wish to permanently delete your account and all associated data:

  • We will confirm your identity and process the deletion request
  • All your User Content and personal data will be permanently deleted within 30 days (except as required by law)
  • Billing records will be retained for 7 years to comply with UK tax regulations
  • Account deletion is irreversible – deleted data cannot be recovered

10.3 Termination by Hidesk

We reserve the right to suspend or terminate your account immediately, without notice or refund, if:

  • You violate any provision of these Terms
  • You engage in fraudulent activity or abuse the Service
  • Your account is used for illegal purposes
  • We are required to do so by law or court order
  • Your account has been inactive for more than 12 months
  • You repeatedly upload prohibited content or harass other users

10.4 Effect of Termination

Upon termination or cancellation:

  • Your right to access and use the Service immediately ceases
  • You remain responsible for all outstanding fees and charges
  • Provisions of these Terms that by their nature should survive (including ownership, warranty disclaimers, indemnity, and limitations of liability) will continue in effect

11. Intellectual Property Rights

11.1 Hidesk's Intellectual Property

All intellectual property rights in the Hidesc.com platform, including but not limited to:

  • Software code, algorithms, and architecture
  • Website design, user interface, and graphics
  • Logos, trademarks, service marks, and brand names
  • Text, images, icons, and audio-visual content created by Hidesk
  • Documentation, tutorials, and help materials

are and remain the exclusive property of HIDESK LTD and its licensors.

11.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your lawful internal business purposes.

You may NOT:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use Hidesk's branding or trademarks without prior written consent
  • Create derivative works based on the Service
  • Frame or mirror any content from Hidesc.com

11.3 Trademark Notice

"Hidesc" and "Hidesk" are trademarks of HIDESK LTD. All other trademarks referenced on the platform are the property of their respective owners.

12. Third-Party Services and Integrations

Hidesc.com integrates with and relies on certain third-party services, including but not limited to:

  • Google Login and Google APIs
  • Google Analytics for usage tracking and analytics
  • Payment processors for billing transactions
  • Cloud storage and hosting providers

12.3 No Liability for Third Parties

HIDESK LTD is not responsible for:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

HIDESK LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any content or data
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

15.2 No Guarantee of Uptime

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HIDESK LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Service interruptions, data corruption, or system failures
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the Service

This limitation applies whether the liability is based on contract, tort (including negligence), strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages.

16.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

  • The total amount you paid to Hidesk in the 12 months preceding the claim, OR
  • £100 (one hundred British pounds)

16.3 Legal Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under UK law

16.4 Consumer Rights

If you are a consumer, these limitations of liability do not affect your statutory rights under UK consumer protection law.

17. Indemnification

17.1 Your Indemnity

You agree to indemnify, defend, and hold harmless HIDESK LTD, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your User Content or any content submitted through your account
  • Any dispute between you and another user or third party
  • Any negligent or wrongful conduct by you or anyone using your account

17.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim without our prior written consent.

18. Dispute Resolution and Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.

18.2 Jurisdiction

You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter.

18.3 Informal Resolution

Before initiating any formal legal proceedings, we encourage you to contact us at info@hidesc.com to attempt to resolve the dispute informally. Many concerns can be resolved quickly and amicably through direct communication.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and HIDESK LTD regarding the Service and supersede all prior agreements, communications, and understandings.

19.2 Amendments to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will update the "Last Updated" date at the top of this page
  • We will notify active users via email at least 14 days before changes take effect
  • We may display an in-app notification

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and cancel your account.

19.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, that provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HIDESK LTD.

19.5 Assignment

You may not assign, transfer, or delegate these Terms or your account without our prior written consent. We may assign these Terms or any rights under them to any affiliate or in connection with a merger, acquisition, or sale of assets.

19.6 No Agency Relationship

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and HIDESK LTD. You have no authority to bind us or make commitments on our behalf.

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Section headings in these Terms are for convenience only and shall not affect their interpretation.
